1. Acceptance of terms

By creating an account and using TaxRecon ("the Service"), you agree to these Terms of Service. If you do not agree, do not use the Service.

2. Description of service

TaxRecon is a software tool that uses artificial intelligence to reconcile Form 1040 tax returns against supporting workpapers. It is designed to assist tax professionals in identifying discrepancies between a tax return and source documents. TaxRecon is a productivity tool — it does not provide tax advice, legal advice, or guarantee the accuracy of any reconciliation output.

3. Not a substitute for professional judgment

TaxRecon's AI-generated reconciliation results are provided for informational purposes only and must be reviewed by a qualified tax professional before any filing or client communication. You are solely responsible for verifying the accuracy of all outputs and for any decisions made based on them. TaxRecon does not replace the judgment of a licensed CPA or tax professional.

4. Account responsibilities

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You agree to notify us immediately at taxreconai@gmail.com if you suspect unauthorized access.
  • Each subscription is for use by a single firm. You may not share your account with other firms.

5. Client data and confidentiality

  • You are responsible for ensuring you have the appropriate authorization to upload your clients' tax documents to TaxRecon.
  • You agree to comply with all applicable privacy laws and professional obligations regarding client data.
  • We will handle your client data as described in our Privacy Policy.

6. Subscription and billing

  • TaxRecon is offered on a paid subscription basis — $49/month or $440/year.
  • Subscriptions automatically renew unless canceled before the renewal date.
  • You may cancel your subscription at any time through the billing portal. Cancellation takes effect at the end of the current billing period.
  • We do not offer refunds for partial billing periods except where required by law.
  • We reserve the right to change pricing with 30 days notice.

7. Acceptable use

You agree not to:

  • Use the Service for any unlawful purpose.
  • Upload documents you do not have authorization to process.
  • Attempt to reverse engineer or access the underlying AI models or infrastructure.
  • Resell or sublicense access to the Service.
  • Upload malicious files or attempt to disrupt the Service.

8. Limitation of liability

To the maximum extent permitted by law, TaxRecon shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including but not limited to errors in reconciliation output, data loss, or reliance on AI-generated results. Our total liability to you for any claim arising from use of the Service shall not exceed the amount you paid us in the three months prior to the claim.

9. Disclaimer of warranties

TaxRecon is provided "as is" without warranty of any kind. We do not warrant that the Service will be error-free, uninterrupted, or that AI-generated reconciliation results will be accurate or complete. You use the Service at your own risk.

10. Termination

We reserve the right to suspend or terminate your account if you violate these terms or if we believe your use poses a risk to other users or the Service. You may terminate your account at any time by contacting us.

11. Changes to terms

We may update these terms from time to time. Continued use of the Service after changes constitutes acceptance of the new terms.

12. Governing law

These terms are governed by the laws of the State of California.
